Terms & Conditions

The ground rules for using Culinary Velocity, in plain language with no surprises. Note section 7 in particular: the Service is not certified or approved by Nepal's Inland Revenue Department, and its bills are not IRD-certified tax invoices.

1. Acceptance of Terms

These Terms & Conditions ("Terms") govern access to and use of Culinary Velocity's restaurant management software: order management, kitchen dashboard, billing and payments, sales monitoring, asset management, staff management, reporting, and Restaurant Intelligence (the "Service").

By creating an account, or by using the Service on behalf of a restaurant, café, or cloud kitchen (a "tenant"), you agree to be bound by these Terms. If you're accepting on behalf of a business, you confirm you have the authority to do so. If you don't agree, please don't use the Service.

2. Who Can Use the Service

The Service is intended for restaurant owners, managers, and staff acting in a business capacity, and is not directed at children. You must be at least 18 years old and able to form a binding contract to create an account.

Each tenant account represents one restaurant or brand. Every business resource created inside an account (menus, orders, bills, staff, assets) belongs to that tenant, and tenants cannot access one another's data.

3. Accounts & Access

You're responsible for keeping your login credentials confidential and for all activity under your account. Restaurant owners who invite staff are responsible for the roles and permissions they assign, and for that staff member's use of the Service.

Sign-in with Google links to your account by email; you're responsible for keeping that Google account secure as well.

Notify us immediately at support@culinaryvelocity.com if you suspect unauthorized access to your account.

4. Plans, Billing & Payment

The Service is offered on a free plan and paid subscription plans, billed monthly or annually as described on our Pricing page. Prices are quoted in Nepali rupees.

We don't charge cards automatically. To activate or renew a paid plan, you make payment against the QR code we provide and send confirmation (for example, over WhatsApp); we verify and apply it manually. Keep proof of payment until we confirm the upgrade.

You're responsible for choosing a plan that fits your restaurant's usage and for renewing before your current cycle ends.

5. Renewals, Downgrades & Non-Payment

Paid plans run for the billing cycle you chose. If we don't receive and verify a renewal payment before the cycle ends, your account may be downgraded to the free plan or have paid features suspended until payment is confirmed.

We'll make reasonable efforts to notify tenant owners before a downgrade takes effect, but suspension for non-payment does not require prior notice.

6. Refunds

Subscription fees are generally non-refundable once a billing cycle has started, including if you stop using the Service partway through the cycle. If we make a billing error, or a payment was verified in error, contact support@culinaryvelocity.com and we'll correct it.

7. Tax & Regulatory Status (IRD Nepal)

Culinary Velocity is not verified, certified, or approved by the Inland Revenue Department (IRD) of the Government of Nepal as an electronic billing or invoicing system, and it is not integrated with the IRD's Central Billing Monitoring System (CBMS). Bills, invoices, and reports generated by the Service are operational records to help you run your restaurant. They are not IRD-certified tax invoices.

You remain solely responsible for your restaurant's tax compliance, including VAT/PAN registration, issuing tax invoices in the form the IRD requires, and using IRD-approved billing software where the law requires it. Any tax-related figures the Service displays (such as service charge, VAT, or TDS estimates) are aids for your own bookkeeping, not tax or legal advice. Verify them with your accountant or auditor.

8. Acceptable Use

You agree not to: use the Service for any unlawful purpose; attempt to access another tenant's data or bypass tenant isolation; reverse-engineer, scrape, or resell the Service without our written consent; overload or disrupt the platform (including automated abuse of our APIs); or upload content you don't have the right to use.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

9. Your Data & Content

You and your restaurant retain ownership of the operational data you put into the Service: menus, orders, bills, staff records, images, and reports. We don't claim ownership of your content.

By using the Service, you grant us a limited license to host, process, and display that data solely to provide and improve the Service, as described in our Privacy Policy.

You're responsible for the accuracy of the data you enter and for having the right to upload any images or content (such as menu photos) you provide.

10. Restaurant Intelligence (AI Features)

Restaurant Intelligence analyzes your restaurant's own operational data to produce business insights and recommendations, using a third-party AI provider to generate the analysis.

AI-generated insights are provided for informational purposes only, may be incomplete or inaccurate, and are not a substitute for your own business judgment. You remain solely responsible for decisions you make based on them, and we're not liable for outcomes resulting from reliance on Restaurant Intelligence output.

11. Third-Party Services

The Service relies on third-party providers to operate, including our database, image hosting, email delivery, Google sign-in, and AI infrastructure. We're not responsible for outages or issues caused by these providers, though we work to minimize their impact on you.

12. Intellectual Property

Culinary Velocity, its logo, and the software underlying the Service are owned by us or our licensors and are protected by intellectual-property law. These Terms don't grant you any rights to our trademarks, branding, or source code beyond what's needed to use the Service as intended.

13. Service Availability & Changes

We aim to keep the Service reliable and available, but we don't guarantee uninterrupted access. We may modify, add, or remove features, and may perform maintenance that temporarily affects availability, with notice where practical for material changes.

14. Termination

You may stop using the Service and close your account at any time by contacting us. We may suspend or terminate an account for breach of these Terms, non-payment, suspected fraud or abuse, or if required by law.

On termination, your right to access the Service ends; we handle any retained data as described in our Privacy Policy.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We don't warrant that the Service will be error-free or uninterrupted.

16. Limitation of Liability

To the fullest extent permitted by law, Culinary Velocity won't be liable for indirect, incidental, or consequential damages arising from your use of the Service, including lost revenue or lost data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose.

17. Indemnification

You agree to indemnify and hold us harmless from claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or content you upload, except to the extent caused by our own breach of these Terms.

18. Governing Law

These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll update the effective date below and, where appropriate, notify tenant owners directly. Continued use of the Service after changes take effect means you accept the updated Terms.
